This page describes the terms and conditions that govern your use of certain Sandbox Limited digital
products, including related www.sigmasandbox.com Websites and mobile
applications (“Services”).
1. General rules and definitions
1.1 By registering to use www.sigmasandbox.com (the “Site”), any Sandbox Limited
mobile sites and/or applications, any of the features of this site (“Services”) including but not
limited to data downloads and uploads (if applicable) you will be agreeing to abide by the terms and
conditions of these Terms of Registration and Use (“Terms”) between you and Sandbox Limited (“Sandbox”,
“we” or “us” or “our”).
1.2 If any of these rules or any future changes are unacceptable to you, you may
cancel your membership and/or subscription/usage by sending an e-mail to info@sigmasandbox.com (see
Section 12.1 regarding termination of service). Your continued use of the services now or following the
posting of notice of any changes in these Terms, will indicate continuing acceptance by you of such
rules, changes, or modifications.
1.3 We may change, suspend or discontinue any aspect of the Services at any time,
including the availability of any feature, database, or content. We may also impose limits on certain
features and services or restrict access to parts of the Services.
2. Content on the Services
2.1 The contents of the Services, including the Site, are intended for your personal
use and are not for re-sale or re-licence unless otherwise specified in writing. All information
available on the Site is protected by copyright and / or licenced to Sandbox Limited (“Content”). You
acknowledge you will abide by additional copyright notices, information, or restrictions contained in
any Content accessed through the Service.
2.2 The Services and Contents are protected by copyright pursuant to U.S., Canadian
and international copyright laws. You may not (except as provided in Section 2.3 of these Terms of
Service), create new works from the Sandbox application or re-distribute, re-licence or in any way
exploit any of the Content or the Services (including software) other than in a manner that would be
considered single or personal use. Personal use of the Sandbox applications would include the normal
activities of an individual who would be considered a Wealth Advisor. Use of the Sandbox application for
larger commercial purposes is prohibited without the written permission of Sandbox.
2.3 All content you do not contribute is owned or licensed to Sandbox Limited and is
furnished by very reputable suppliers who will not be liable for any delays, inaccuracies, errors or
omissions in any such content, or in the transmission or delivery of all or any part thereof, or for any
damages arising therefrom. By accessing this Site, you release all suppliers of content from liability
for inaccurate, misleading or incorrect data, regardless of the outcome. Content and data are provided
on the understanding the user will conduct their own assessment and will not solely rely on data
provided by this Site. To the fullest extent of the law, you agree to indemnify and hold harmless
Sandbox Limited, its Shareholders, Officers and Directors in the event of a claim by a 3rd party for
damages as a result of an activity or representation you make to a 3rd party regarding the information
contained, displayed or reproduced in the Sandbox application.
3. User-generated content:
3.1 Sandbox Limited provides a facility for you to upload your own data to compare,
perform analysis or to include in portfolios you are constructing. This data will be held in strictest
confidence and will be for your use only.
3.2. Sandbox Limited may in the future provide a facility for Member communications.
You shall not upload or distribute or otherwise publish on to the Services any libelous, defamatory,
obscene, abusive, or otherwise illegal material.
3.3. You acknowledge that any submissions you make to the Services (i.e.,
user-generated content “) may be edited, removed, modified, for brevity, published, transmitted, and
displayed by Sandbox Limited and you waive any rights you may have in having the material altered or
changed in a manner not agreeable to you.
4. Access and availability of Services and links
4.1 The Services may contain links to other related World Wide Web Internet sites and
resources. Since we are not responsible for the availability of these outside resources, or their
contents, you should direct any concerns regarding any external link to the site administrator or
Webmaster of such site.
4.2 Sandbox retains the right to reduce or eliminate your Sandbox service if, in its
sole determination, that the user’s activity is excessive. Excess use would be defined as activity that
would reduce availability of Sandbox services to others or activity that would indicate password and
licence is being shared with multiple users.
5. Representations and warranties
5.1 You represent, warrant and covenant (a) that no materials of any kind submitted
uploaded by you (if that facility is provided to you), including data and investment information through
your account will (i) violate, plagiarize, or infringe upon the rights of any third party, including
copyright, trademark, privacy or other personal or proprietary rights; or (ii) contain libelous or
otherwise unlawful material.
5.2 Liability Limitation
You agree that our aggregate financial liability in claim (whether for breach of contract, tort,
accuracy, negligence, or any other legal theory) and your only recourse shall, in no circumstances
exceed the cost of the subscription. Further, you agree that under no circumstances shall we, our
shareholders, Officers, and Directors, service providers and employees be liable for special,
incidental, indirect or consequential damages, lost profits, lost revenue or opportunity, or cost of
cover for any reason. Products, services and subscriptions are sold and delivered for your use “as is”
with no warranty. Your financial remedy for any claim for damages is to terminate the use of the Sandbox
application. We make no express warranties and representations, and we disclaim all implied warranties
and representations, including without limitation, the implied warranties of merchantability, title,
timeliness, fitness for a particular purpose, accuracy and non-infringement.
5.3 Sandbox Limited does not represent or endorse the accuracy or reliability of any
advice, opinion, statement, or other information displayed, calculated, uploaded, or distributed through
the Services by Sandbox Limited by any user, information provider or any other person or entity. You
acknowledge that any reliance upon any such opinion, advice, statement, memorandum, or information shall
be your sole responsibility.
6. Registration and security
6.1 As part of the registration or account creation process, you will be asked to
create login credentials by selecting a password and providing an e-mail address. You also are asked to
provide certain registration information, all of which must be accurate. You agree Sandbox can contact
you with updates and notifications of new features and general investment information.
6.2 Each registration is for a single user only and is not intended to be shared.
Sharing your registration login credentials with anyone is prohibited without written permission. We may
cancel or suspend your access to the Sandbox Services if your account is being shared by multiple users.
You are responsible for maintaining the confidentiality of your password. You may not (i) select or use
the login credentials of another person with the intent to impersonate that person; (ii) use login
credentials in which another person has rights without such person’s authorization; or (iii) use login
credentials that we, in our sole discretion, deem offensive.
6.3 Please notify info@sigmasandbox.com of any known or suspected unauthorized use(s)
of your account, or any known or suspected breach of security, including loss, theft, or unauthorized
disclosure of your password or credit card information (if applicable).
6.4 If you have subscribed or registered for access to the Alternative Investment
data (Hedge Fund Catalogues) in the Sandbox application, you acknowledge you are a Finance Industry
professional or an accredited investor within the meaning of your financial regulatory environment.
7. Fees
7.1. Sandbox fees will be charged monthly in advance. Users may cancel at any time
with one month’s advance notice.
8. Communications between Sandbox Limited and users
8.1 Sandbox may allow certain third parties to provide you with information about
products and services.
8.2 Sandbox may contact you via e-mail regarding security, content or product issues
or solicit your participation in user surveys, asking for feedback on current Services or prospective
products and services and may contact you on behalf of certain third parties with offerings that may be
of interest to you. Generally, information gleaned from surveys and solicited feedback will be used to
improve the Services and better understand our users. Information we obtain in such surveys may be
shared with third parties.
9. Software licenses
9.1 You shall have no rights to the proprietary software and related documentation, or
any enhancements or modifications provided to you in order to access the Services (“Software”). You may
not sublicense, assign or transfer any licenses granted by Sandbox Limited, and any attempt at such
sublicense, assignment or transfer shall be null and void. You may not otherwise copy, distribute,
modify, reverse engineer, or create derivative works of Sandbox software.
10. Privacy Policy
It is updated periodically and can be reviewed HERE (link).
11. Legal Jurisdiction.
11.1 You agree that the Laws of the Province of Ontario will govern this Agreement,
irrespective of your domicile and location.
12. Termination
12.1 You may terminate your account and usage by emailing:info@sigmasandbox.com
12.2 Sandbox Limited may, in its sole discretion, terminate or suspend your access to
all or part of the Services for any reason.
